These Commercial Terms (“Terms”) govern all business transactions conducted with OPS-JAPAN (“we”, “our”, “us”). By engaging with our services, the client (“you”, “your”, or “Client”) agrees to the following terms and conditions.


 

1. Scope of Services

OPS-JAPAN offers the following services:

  • Import and Export Brokerage: Connecting buyers and suppliers for Japanese and international products.

  • Product Sourcing: Personalized sourcing of products based on client specifications.

  • Storage Services: Secure, short- or long-term storage of goods in Japan.

  • Fulfillment Services: Order receiving, inspection, packing, labeling, and shipping to domestic and international destinations.

We proudly offer fixed monthly plans or one-time pricing options for both storage and fulfillment services, making our solutions predictable, affordable, and easy to manage.


 

2. Pricing and Payment

  • Prices are quoted based on the scope of service and selected pricing model.

  • Clients may choose between a fixed monthly plan or a one-time fee, depending on their needs.

  • All service fees are exclusive of applicable taxes, customs duties, and shipping charges unless otherwise stated.

  • For services, payment is required through a payment link that will be sent to the customer after they agree to the terms and process, which will be discussed during a Zoom call or phone call.

  • Invoices must be paid in full before fulfillment, shipment, or service activation unless otherwise agreed.


 

3. Storage Services

  • Prices are available as either fixed monthly storage fees or one-time storage arrangements, based on product volume and duration.

  • Access to inventory is available upon request with 48 hours’ notice.

  • Insurance for stored goods is the client’s responsibility unless otherwise arranged in advance.


 

4. Fulfillment Services

  • Clients can choose a flat monthly fulfillment plan or a one-time fulfillment service fee, depending on order volume and frequency.

  • Fulfillment includes receiving, inspection, packaging, and dispatching.

  • Additional charges may apply for labeling, repackaging, or special handling.

  • Clients must provide advance notification of incoming inventory and shipping requirements.

  • Standard processing time is 1–3 business days, depending on the volume.


 

5. Client Responsibilities

  • Clients must provide accurate and complete product specifications and delivery instructions.

  • Clients are responsible for ensuring their goods comply with all import/export laws and regulations.

  • OPS-JAPAN is not liable for delays caused by customs, incorrect declarations, or force majeure events.


 

6. Confidentiality

All business dealings and client data are treated as strictly confidential. We do not disclose information to third parties without written consent unless required by law.


 

7. Liability

OPS-JAPAN is not liable for loss or damage to goods unless resulting from our proven gross negligence. Liability, if applicable, shall not exceed the total amount paid for the affected service.


 

8. Termination

Either party may terminate ongoing services with 14 days’ written notice. Outstanding balances and fees must be settled prior to termination.


 

9. Dispute Resolution

In case of disputes, both parties agree to make reasonable efforts to resolve the matter amicably. If unresolved, the matter will be governed by the laws of Japan and submitted to the Osaka District Court.


 

10. Amendments

OPS-JAPAN reserves the right to update these Terms at any time. Clients will be notified via email or website announcement of significant changes.
